EU Base Prospectus for Chartered Investment’s structured product platform Opus

The Commission de Surveillance du Secteur Financier (CSSF) has approved an EU Base Prospectus for structured securities issued through Opus. The approval expands Chartered Investment's public offering capabilities by enabling a broader range of investment solutions, including Credit Linked Notes (CLNs) and tokenized investment products under the eWpG framework, while also extending the distribution scope beyond Switzerland to include the European Economic Area. This marks a significant milestone in the continued expansion of Opus as Chartered Investment's structured products platform.

The EU Base Prospectus, approved on 17 September 2026 under the EU Prospectus Regulation, establishes a comprehensive issuance framework for structured products offered to retail and professional investors across the European Economic Area (EEA) and Switzerland. It complements the existing Swiss Base Prospectus and further strengthens Opus as a cross-border issuance platform for European structured products.

A comprehensive and modular issuance framework

The new Base Prospectus supports a broad range of investment solutions, including capital protection, participation, discount, bonus, express, reverse convertible and credit-linked products, alongside traditional fixed- and floating-rate securities.

Products can reference a wide variety of underlyings, including equities, indices, bonds, interest rates and investment units, either individually or in baskets.

A key feature is the modular architecture of the Opus platform, which allows funding and derivative components to be selected independently and combined within a single issuance framework.

This enables financial institutions to source funding from different market participants not only supporting bonds but also different formats like loans etc. while contributing their own structuring and hedging capabilities, or to access both funding and derivatives through the established Opus partner network.

The result is a flexible, open-architecture infrastructure that connects funding providers, derivative counterparties and distribution partners, supporting the development of structured investment solutions for different markets and investor needs.

Connecting European markets with traditional and digital issuance

Together with the existing Swiss Base Prospectus, the new EU Base Prospectus broadens Opus' public-offering capabilities across the EEA and Switzerland, supporting the expansion of its retail structured products business into additional European markets.

The framework also brings together traditional and digital capital markets infrastructure. Securities are governed by German law and can be issued as classical bearer notes, electronic securities registered in a central securities register (Zentralregisterwertpapiere) or crypto securities (Kryptowertpapiere), both in accordance with the German Electronic Securities Act (eWpG), as well as ledger-based securities under the Swiss Code of Obligations.

This combination of cross-border distribution, modular structuring and multiple issuance formats further establishes Opus as a comprehensive platform for both traditional and digital structured products.
